Employee Value Proposition:

The Associate General Counsel will work closely with the portfolio companies from start to finish of their projects in reviewing contracts, identifying areas of risk and work with the project teams to navigates the challenges of building some of the most epic structures in the United States; handle compliance and regulatory matters associated with being a public and international counsel and be involved in managing outside counsel.

Core Responsibilities:

  • Participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters.
  • Works with General Counsel and the Senior Management Team providing counsel on all major business transactions, including acquisitions, divestitures and joint ventures.
  • Judges the merits of major court cases filed against or on behalf of the company, works with the appropriate executive(s) to define a strategic defense and approves settlements of disputes where warranted.
  • Assists with the selection, retention, management and evaluation of all outside counsel.
  • Advises on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities.

Requirements

  1. Education/Training

J.D. (Juris Doctor) from a US accredited law school

  1. Work Experience

At least 6 (six) years of job related experience dealing with construction and complex litigation.  Experience with publicly traded and international companies is preferred

  • Specialized Knowledge

As outlined in the Core Competencies, an individual must have thorough knowledge and an advanced understanding of each competency outlined above in order to carry out the essential functions of this position.  Specialized Knowledge is also required in the following areas:  Admission in good standing with State Bar Organization (California preferred but not required)

  1. Software & Technology

Position will require the frequent use of MS Windows 7 and/or MS Windows 10, MS Word, MS Excel, MS Powerpoint, and MS Outlook.

  1. Work Environment

Position requires as many hours needed to fulfill the daily and weekly obligations required to carry out the functions.  Working long days including evenings and weekends can be required for this position.  Position requires out of state air/road travel as needed and required.  A clean driving record will be required due to required road travel.  Current and valid driver’s license and proof of acceptable insurance is required.  This position is generally indoors in a climate controlled office.
